The Board of Directors is the main governing body of GDF SUEZ.
Composition of the Board of Directors
As of May 2nd 2011, the GDF SUEZ Board of Directors comprised 22 members:
- 12 Directors appointed by the Annual General Shareholders’ Meeting,
- 6 Directors representing the State appointed in accordance with existing laws,
- 3 Directors representing the employees of the Group and its subsidiaries,
- 1 Director representing employee shareholders.
Also assisting the meetings of the Board:
- 2 observers elected by the Shareholders’ Meeting, each in an advisory capacity,
- 1 Government Commissioner, who acts in an advisory capacity.
Committees of the Board
The Board of Directors is assisted by 5 advisory committees, each of which is chaired by an independent Director.
